Service Level Agreement

1. Purpose of Agreement

This Service Level Agreement ("Agreement") establishes the legally binding terms under which Dove Developers will provide web development, hosting, maintenance, digital services, and related products to the Client. The purpose of this Agreement is to define service expectations, performance standards, payment obligations, and the responsibilities of both parties.

Any purchase made by the Client under this Agreement becomes a binding financial obligation, enforceable under applicable law. By purchasing any service or product from Dove Developers, the Client expressly agrees to all terms in this Agreement, regardless of whether they have read it in full.

2. Services Provided

Dove Developers shall provide the following services, as applicable:

  • Web development, design, and deployment
  • Hosting, server management, and uptime monitoring
  • Website maintenance, updates, and patching
  • Digital product delivery and licensing
  • Technical support and troubleshooting
  • Security monitoring and threat mitigation
  • Additional services requested and approved by the Client

Specific services may be detailed in a proposal, service description, written communication, or project scope document. All services delivered under this Agreement are subject to the payment terms outlined herein.

Dove Developers may update, modify, or enhance service processes, tools, or methods as needed to maintain quality, security, or operational efficiency.

3. Payment Terms

3.1 Monthly Payments

  • All services billed on a monthly basis must be paid on or before the due date, regardless of whether an invoice is issued.
  • The Client is solely responsible for ensuring timely payment for all services rendered.
  • Failure to receive an invoice does not exempt the Client from payment obligations.

3.2 Binding Purchase Obligation

  • Any service, subscription, or product purchased by the Client becomes a binding financial obligation immediately upon purchase.
  • This obligation remains enforceable with or without an invoice, and with or without notice from Dove Developers.
  • All purchases are final and non-refundable unless otherwise stated in writing.
  • By purchasing, the Client confirms they have read, understood, and agreed to this Agreement, or otherwise accepts that purchase constitutes legal acceptance of all terms.

3.3 Missed or Late Payments

  • Any payment not received by the due date is considered late.
  • A $25 late fee will be automatically applied to each late payment.
  • Additional late fees may accrue monthly until the outstanding balance is paid in full.
  • Repeated late payments may result in additional administrative fees or service restrictions.

3.4 Suspension of Services

Dove Developers reserves the right to suspend, restrict, or terminate services if the Client fails to pay any outstanding balance, including late fees. Suspension may include:

  • Removal of hosting access
  • Disabling website functionality
  • Pausing development work
  • Revoking access to digital products or tools
  • Blocking support requests

Service suspension does not relieve the Client of financial obligations.

4. Collections & Enforcement

If the Client fails to pay any required amount:

  • Dove Developers may pursue collection of the debt through internal or external means.
  • The Client agrees to be responsible for all reasonable costs associated with collection, including administrative fees, legal fees, attorney fees, and court costs.
  • Dove Developers may report delinquent accounts to credit or business reporting agencies where applicable.
  • Dove Developers may transfer the account to a third-party collections agency.
  • Continued nonpayment may result in legal action.

The Client acknowledges that failure to pay may result in permanent service termination and forfeiture of access to all digital products.

5. Term & Termination

5.1 Term

This Agreement remains in effect indefinitely and applies to all services purchased or used by the Client.

5.2 Termination by Client

The Client may terminate services by providing written notice. Termination does not release the Client from any outstanding financial obligations, including unpaid monthly fees, late fees, or charges incurred prior to termination.

5.3 Termination by Provider

Dove Developers may terminate this Agreement immediately in cases of:

  • Fraud or attempted fraud
  • Abuse of services or systems
  • Repeated nonpayment
  • Violation of service policies
  • Illegal or harmful use of Dove Developers' services

Upon termination, Dove Developers may immediately revoke access to all services, products, systems, and hosting environments.

6. Liability for Nonpayment

The Client acknowledges and agrees:

  • Missed payments remain the Client's sole responsibility.
  • Dove Developers is not liable for delays, interruptions, or loss of service caused by nonpayment.
  • The Client remains financially responsible even if no invoice or reminder is issued.
  • Failure to receive an invoice does not exempt the Client from payment obligations.
  • The Client is responsible for ensuring payment information is accurate and up to date.
  • Nonpayment may result in permanent data loss if hosting or services are suspended.

7. Service Levels & Performance

7.1 Uptime & Availability

Dove Developers will make reasonable efforts to maintain uptime and service availability for hosting and digital services. However, uptime may be affected by:

  • Third-party hosting providers
  • Network outages
  • Security incidents
  • Maintenance windows
  • External factors beyond Dove Developers' control

7.2 Response Times

Dove Developers will make reasonable efforts to respond to support requests within:

  • 24–48 hours for standard inquiries
  • Same day for urgent issues, when possible

7.3 Maintenance & Updates

Dove Developers may perform scheduled or emergency maintenance as needed. Maintenance may temporarily affect service availability.

7.4 Security & Monitoring

Dove Developers will take reasonable measures to protect hosted environments, including:

  • Security patching
  • Threat monitoring
  • Firewall configuration
  • Malware scanning

However, no system is guaranteed to be fully secure, and Dove Developers is not liable for breaches caused by third-party providers, external attacks, or Client negligence.

8. Client Responsibilities

The Client agrees to:

  • Provide accurate information necessary for service delivery
  • Maintain timely payments
  • Follow Dove Developers' policies and guidelines
  • Avoid misuse of hosting, servers, or digital products
  • Notify Dove Developers of any issues requiring support
  • Maintain secure passwords and access credentials
  • Avoid illegal or harmful activities on hosted systems

Failure to comply may result in service suspension or termination.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

10. Acceptance of Terms (No Signature Required)

This Agreement is legally binding without signatures. The Client agrees to all terms upon:

  • Purchasing any service or product
  • Subscribing to any monthly plan
  • Accessing Dove Developers' services
  • Using any digital product provided by Dove Developers
  • Making any payment to Dove Developers

Any purchase or payment constitutes full acceptance of this Agreement and all obligations within it.
